Singapore Nominee Service, Nominee Director, and Nominee Agent

Nominee Services can be either nominee director or nominee agent. 
If you are incorporating a Singapore company or subsidiary, you will need to have one nominee director. 
If you are registering a Singapore branch office, you will to have two nominee agents. 


SETUP REQUIREMENTS FOR SINGAPORE COMPANY / SUBSIDIARY COMPANY
  • Minimum 1 Corporate Shareholder + 1 Resident Director + 1 Company Secretary
  • Minimum initial paid-up capital is S$1
  • A Singapore registered office address
Definition of Resident Director  
A minimum of one resident director (a resident is defined as a Singapore Citizen, a Singaporean Permanent 
Resident, or a person who has been issued an Entrepass, Employment Pass, or Dependent Pass) 
is mandatory. 

                    Nominee Directors
                    If you do not have the resident director describe above, you will need to appoint nominee directors. 


SETUP REQUIREMENTS FOR SINGAPORE BRANCH OFFICE
  • Corporate Shareholder + 2 Resident Agents 
  • A Singapore registered office address
2 Resident Agents 
A Singapore branch must appoint 2 agents who are ordinarily resident in Singapore, i.e. a Singapore citizen, 
a permanent resident, or a foreigner who has been issued an employment pass / entrepass / dependent pass. 
The agents should be natural persons of at least 18 years of age. Foreign companies that plan to relocate one 
or more of their staff members from the head office to Singapore, can apply for employment pass for such 
individuals after the branch has been registered.
